Terms of Service

By accessing the MySpaLive platform, registering as a distributor, or placing any order, you agree to be legally bound by these Terms of Service ("Terms"), the MySpaLive Distributor Agreement, and all applicable federal, state, and local laws and regulations. If you do not agree to all Terms herein, you are not authorized to use this platform and must immediately cease access.

BY PLACING AN ORDER OR ACTIVATING A DISTRIBUTOR ACCOUNT, YOU ACKNOWLEDGE THAT YOU HAVE READ, FULLY UNDERSTOOD, AND IRREVOCABLY AGREE TO ALL TERMS AND CONDITIONS CONTAINED HEREIN, INCLUDING WITHOUT LIMITATION THE RESEARCH-USE-ONLY DESIGNATION, THE DISTRIBUTOR-ONLY SALES RESTRICTION, THE TRANSACTION FACILITATION MODEL, THE INDEMNIFICATION PROVISIONS, AND THE LIMITATION OF LIABILITY CLAUSES.

MySpaLive, LLC is a wholesale distributor and transaction services company. All product sales made through this platform are transacted exclusively with authorized MySpaLive distributors. MySpaLive does not, and has never, sold research compounds directly to the general public or retail end-consumers.

Distributor-Facilitated Transactions: When an authorized MySpaLive distributor refers their own clients to the MySpaLive fulfillment platform, any resulting transaction is legally and commercially a transaction between the distributor and their client. MySpaLive's role in such transactions is limited exclusively to:

• Payment collection and processing on behalf of the referring distributor
• Product fulfillment and shipping logistics on behalf of the referring distributor
• Platform access, marketing support, and operational infrastructure provided to the distributor

Service Fee Structure: The price difference between the distributor's wholesale cost and the price at which the distributor's referred client purchases through the platform constitutes MySpaLive's transaction facilitation fee and service charge for handling billing, fulfillment, and platform operations on the distributor's behalf. This fee structure does not constitute a retail sale by MySpaLive to the general public.

Client Ownership: All referred clients introduced to the MySpaLive platform by an authorized distributor are, and shall remain, exclusively the clients of that distributor. MySpaLive does not claim ownership of, or a direct commercial relationship with, any distributor's referred clients. Any marketing, outreach, or communications conducted by MySpaLive on behalf of its distributor network are performed as a service to distributors — not as direct consumer marketing by MySpaLive.

Access to MySpaLive's platform and products is strictly limited to authorized distributors. To qualify as an authorized distributor, you must:

• Be at least 21 years of age
• Execute and maintain a valid MySpaLive Distributor Agreement
• Be a licensed healthcare professional, qualified researcher, or business entity operating within a legitimate professional framework in your jurisdiction
• Possess all professional licenses, permits, and authorizations required by applicable federal, state, and local law to purchase, possess, and distribute research compounds
• Maintain compliance with all applicable laws and regulations throughout the term of the distributor relationship
• Not be under investigation, indictment, or conviction for any offense related to controlled substances, fraud, or professional misconduct
• Be legally capable of entering into and performing binding contractual obligations

MySpaLive reserves the right to verify credentials, request documentation, and refuse, suspend, or terminate any distributor account where eligibility cannot be substantiated or is found to have been misrepresented. Misrepresentation of eligibility constitutes fraud and subjects the distributor to civil and criminal liability.

As an authorized MySpaLive distributor, you independently agree and warrant that you will:

• Operate your distribution activities in full compliance with all applicable federal, state, and local laws and regulations, including without limitation those governing the possession, distribution, and marketing of research compounds
• Ensure that all individuals to whom you refer platform access are themselves qualified professionals or operate within an appropriately supervised framework
• Not represent or permit representation that MySpaLive products are FDA-approved drugs, cosmetics, or dietary supplements
• Not market products for human consumption, human therapeutic use, or any use other than legitimate in vitro research within a professional framework
• Maintain all required business licenses, professional licenses, and regulatory authorizations applicable to your distribution activities
• Not transfer, sublicense, or assign your distributor rights to any third party without MySpaLive's prior written consent
• Promptly notify MySpaLive of any regulatory inquiry, investigation, or action relating to your distribution activities or the products

Independent Contractor Status: Distributors are independent contractors of MySpaLive and are not employees, agents, partners, or joint venturers. Distributors have no authority to bind MySpaLive contractually or to make representations on MySpaLive's behalf beyond what is explicitly authorized in writing.

Upon registering a distributor account, you agree to:

• Provide accurate, current, and complete business and professional information
• Maintain and promptly update all account information to ensure accuracy
• Keep all account credentials strictly confidential and secure
• Immediately notify MySpaLive of any unauthorized access or security breach
• Accept full responsibility for all activities conducted under your account

MySpaLive bears no liability for any loss or harm arising from your failure to maintain the security or accuracy of your account credentials.

An active $9.99/month Membership Discount Club fee is required to maintain distributor ordering access. This fee covers:

• Access to MySpaLive's licensed research compound fulfillment platform
• Ongoing distributor portal access, operational support, and compliance infrastructure

The Membership Discount Club fee is billed monthly and may be cancelled at any time, effective at the end of the current billing cycle. No refunds are issued for periods already billed.

Fee Changes: MySpaLive reserves the right to increase the Membership Discount Club fee at any time. We will provide at least thirty (30) days' advance notice of any fee increase via email or platform notification before the new rate takes effect. If you do not wish to accept the increased fee, you must cancel before the new rate takes effect. Continued use of the platform, or failure to cancel within the 30-day notice period, constitutes your acceptance of the increased fee beginning with the next billing cycle following that period.

When a distributor refers their clients to the MySpaLive fulfillment platform, MySpaLive provides the following facilitation services exclusively on the distributor's behalf:

• Payment Processing: MySpaLive collects payment from the distributor's referred client using secure, third-party payment processing infrastructure (Stripe). All funds are collected as consideration for product fulfillment provided on the distributor's behalf.
• Fulfillment & Logistics: MySpaLive processes, packs, and ships orders to the distributor's referred clients as a logistics service on behalf of the distributor.
• Platform & Marketing Infrastructure: MySpaLive provides platform access, marketing tools, and outreach support to facilitate the distributor's business development activities. Any marketing conducted by MySpaLive on behalf of its distributor network is performed as a distributor service — MySpaLive does not conduct direct consumer marketing independent of its distributor relationships.
• Service Fee: MySpaLive's compensation for the above services is the difference between the wholesale price charged to the distributor and the price at which the distributor's client transacts on the platform. This spread constitutes a facilitation and service fee and does not represent a retail sale by MySpaLive to the general public.

Distributor Commission: MySpaLive may, at its discretion and as set forth in the applicable Distributor Agreement, remit a portion of transaction proceeds to the referring distributor as a commission or referral payment. Commission amounts, schedules, and eligibility requirements are governed by the Distributor Agreement and MySpaLive's then-current commission policy.

No Consumer Relationship: MySpaLive expressly disclaims any direct commercial or consumer relationship with a distributor's referred clients. All product warranties, representations, client service obligations, and consumer-facing responsibilities arising from distributor-referred transactions are solely those of the referring distributor.

Ordering:

• Product availability and pricing are subject to change without notice
• All orders are subject to stock availability; substitutions or delays may occur
• Orders are processed upon successful payment confirmation
• MySpaLive reserves the right to cancel or refuse any order for any reason, including without limitation eligibility concerns, compliance issues, or stock limitations

Payment:

• All payments are processed securely through Stripe at the time of order
• All prices are in USD; applicable taxes and shipping fees are added at checkout
• By providing payment information, you authorize MySpaLive to charge the full order amount, including applicable taxes, shipping, and service fees
• Chargebacks initiated without first contacting MySpaLive's support team constitute a material breach of these Terms and may result in immediate account suspension, forfeiture of commission balances, and civil liability for the chargeback amount plus fees

• Due to the nature of professional-grade research compounds, all sales are final once products have shipped
• Refunds may be issued solely at MySpaLive's discretion for orders that arrive materially damaged, are lost in transit, or contain demonstrably incorrect products
• Claims for damaged or incorrect orders must be submitted within 48 hours of delivery confirmation with photographic documentation
• Monthly Membership Discount Club fees ($9.99/month) are non-refundable for periods already billed

You agree NOT to, and shall not permit others to:

• Sell or distribute products to any individual who is not a licensed professional operating within a supervised, compliant framework
• Market, advertise, or represent products as FDA-approved, safe for human consumption, or suitable for therapeutic or medicinal use
• Misrepresent your credentials, professional license status, business entity, or qualifications to MySpaLive or to any third party
• Use the platform for any illegal, unauthorized, or fraudulent purpose
• Share, transfer, or sell account credentials or distributor access to any third party
• Attempt unauthorized access to any portion of the platform, systems, or data
• Upload, transmit, or distribute any malware, viruses, or malicious code
• Engage in any activity that violates the Federal Food, Drug, and Cosmetic Act (FDCA), the Drug Enforcement Administration (DEA) regulations, or any applicable state or local law
• Copy, reproduce, distribute, or create derivative works from any MySpaLive platform content, training materials, or proprietary systems without prior written authorization
• Harass, abuse, threaten, or harm MySpaLive staff or other platform users

ALL products sold by MySpaLive, LLC are designated as research chemicals intended exclusively for in vitro laboratory research and professional scientific experimentation. No exceptions. By purchasing, you expressly represent, warrant, and certify that:

• All products will be used solely for legitimate in vitro research, laboratory testing, or professional purposes within a licensed and supervised framework
• No products will be introduced into the human or animal body outside of an appropriately supervised and legally compliant laboratory research framework
• You fully understand that these products are NOT FDA-approved drugs, cosmetics, foods, or dietary supplements and may not be represented as such
• You are solely and exclusively responsible for ensuring your use, handling, and distribution of these products complies with all applicable local, state, federal, and international laws and regulations
• MySpaLive, LLC bears no responsibility whatsoever for any harm, injury, adverse event, regulatory action, or legal consequence arising from any unauthorized, non-compliant, or unsupervised use of these products

Any use of MySpaLive products outside of this research-only framework, or in violation of these Terms, is at the sole risk and liability of the distributor and constitutes an immediate material breach of this Agreement.

All content on the MySpaLive platform — including but not limited to training materials, course content, videos, documentation, product data, branding, software, and operational systems — is the exclusive intellectual property of MySpaLive, LLC and is protected by applicable copyright, trademark, and trade secret law. Distributors are granted a limited, non-exclusive, non-transferable license to use MySpaLive's platform and materials solely in connection with their authorized distribution activities. This license does not include the right to copy, reproduce, sublicense, reverse-engineer, or create derivative works from any MySpaLive intellectual property. MySpaLive® and related marks are registered trademarks of MySpaLive, LLC and may not be used without express written authorization.

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MYSPALIVE, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding uninterrupted or error-free platform operation
• Warranties regarding the accuracy, completeness, or reliability of any product information, research data, or platform content
• Warranties regarding the suitability of any product for any particular research, professional, or commercial purpose

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYSPALIVE, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING WITHOUT LIMITATION:

• Any injury, illness, adverse reaction, death, or harm of any kind resulting from any use of products, including without limitation any use in violation of these Terms
• Any indirect, incidental, special, exemplary, punitive, or consequential damages
• Any loss of profits, revenue, business opportunities, goodwill, or data
• Any regulatory, administrative, criminal, or civil penalties or actions relating to a distributor's activities
• Any third-party claims arising from a distributor's independent business activities or client relationships
• Any damages arising from reliance on information provided through the platform

MySpaLive's total aggregate liability for any claim shall not exceed the lesser of (i) the total fees paid by the claimant to MySpaLive in the three (3) months immediately preceding the event giving rise to the claim, or (ii) Five Hundred U.S. Dollars ($500.00). This limitation applies regardless of the theory of liability and even if MySpaLive has been advised of the possibility of such damages.

You agree to fully and unconditionally indemnify, defend, and hold harmless MySpaLive, LLC, its officers, directors, members, employees, contractors, agents, and successors from and against any and all claims, demands, suits, investigations, regulatory actions, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to:

• Your use, misuse, or unauthorized use of any product or service provided through the platform
• Your violation or alleged violation of these Terms, the Distributor Agreement, or any applicable law or regulation
• Your misrepresentation of credentials, license status, professional qualifications, or business activities
• Your independent distribution activities, client relationships, or downstream handling of products
• Any harm, injury, adverse event, or regulatory action resulting from products you distributed, referred, or made available
• Any third-party claim arising from your business activities conducted in connection with or through the MySpaLive platform
• Any negligence, fraud, willful misconduct, or bad faith on your part

This indemnification obligation is unconditional, survives termination of your account and these Terms, and is not limited by the liability cap set forth in Section 14.

MySpaLive may suspend or immediately terminate your distributor account and access to the platform for any of the following:

• Breach of any provision of these Terms or the Distributor Agreement
• Fraudulent, illegal, or unethical conduct
• Non-payment of fees, subscription charges, or outstanding amounts
• Any regulatory inquiry, investigation, or action involving your distribution activities
• Conduct that MySpaLive determines, in its sole discretion, poses a risk to its reputation, platform integrity, regulatory standing, or other distributors
• Loss or revocation of any required professional license or authorization

Upon termination: (i) your right to access and use the platform ceases immediately; (ii) all fees previously paid are non-refundable; (iii) any outstanding commission payments subject to verification may be withheld pending review; and (iv) your indemnification and other post-termination obligations under these Terms continue in full force and effect.

These Terms are governed exclusively by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the distributor relationship shall be resolved as follows:

• Step 1 — Good Faith Negotiation: The parties shall attempt to resolve any dispute through good faith negotiation for a period of thirty (30) days following written notice of the dispute.
• Step 2 — Binding Arbitration: If negotiation fails, the dispute shall be submitted to final and binding arbitration in Dallas County, Texas, administered under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
• Class Action Waiver: All disputes must be brought exclusively in an individual capacity. You irrevocably waive any right to participate in any class action, collective action, or representative proceeding.

MySpaLive reserves the right to revise these Terms at any time in its sole discretion. Material changes will be communicated via email notification to the address on file or through a platform announcement. Your continued use of the platform or any placement of an order following notice of revised Terms constitutes your binding acceptance of the updated Terms. If you do not agree to revised Terms, you must immediately cease use of the platform and notify MySpaLive in writing of your intent to terminate your distributor relationship.

These Terms, together with the MySpaLive Distributor Agreement and any additional written agreements executed between you and MySpaLive, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior oral or written agreements, understandings, or representations. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
